Module1. INTRODUCTION TO THE LEGAL PRACTICE
Theme1. Beginning of the legal practice (33 hours)
Concept, main directions and types of practice of the lawyer. Professional practice of the lawyer as social institute. Legal practice. Individual professional practice of the lawyer and procedure of its implementation. Practice of the law firm. Practice of the lawyer and bar association. Procedure of registration of bar association. Rules of legal ethics. Legal career. Prospects of various types of legal career of the lawyer, their prestige. Problem of professional independence of the lawyer.
Theme 2. Work of the lawyer (attorney) with client (28hours)
Concept, content and structure of legal objective development. Legal objective development stages. Current legislation analysis. Legal assessment of the facts, connected with development of the legal objective. Forming of legal and reasonable decision, its implementation. Legal consultations, legal offers and legal decisions. Types of legal consultations, offers, decisions. Their structure and form. Argumentation of judgments of the lawyer. Representation of interests of the client in the court, commercial and administrative court, other state bodies, institutions and organizations. Registration of subjects of business practice, as one type of practice of the lawyer (law firm, bar association). Problem of responsibility of the lawyer for the quality, legality and reasonableness of his judgments, and also services provided by him.
Theme 3. Legal documents preparation (24 hours)
Legal examination of documents. Legal conclusions. General requirements for the legal documents preparation. Types of legal documents. Memorandum (MOU) as special type of legal documents. Letter of intensions (LOI).
Module 2. PROFESSIONAL PRACTICE OF THE LAWYER.
Theme 4. Introduction of contract work (26hours)
Role and meaning of the agreement. General provisions about the agreements. Concepts and types of contract work. Subjects of contract work. Content and legal significance of legal support preparation process and conclusion of agreements. Stages of contract work: preparation for the conclusion of agreements, assessment of grounds of the agreements conclusion, registrations of contractual relations, explanation of content of agreements to the contractors, control over the implementation, estimation of results of theagreement performance. Standard regulation of contract work.
Theme 5. Introduction of claim-related work(26 hours)
Concept of claim-related work (in appropriate cases) at the enterprises, in organizations, institutions. Objective of claim-related work. Content of claim-related work. Procedure of presentation of claims to the entities. Procedureof the claim considerationby the enterprise. Managingclaim work at the enterprise. Analysis of the claim-related work at the enterprise. Registration and preservation of the claim-related materials on the enterprise. Registers of claim-related requests.
Theme 6. Legal due diligence (26 hours)
History of due diligence emergence. Concept, general characteristic and types of due diligence. Subjects and object of legal due diligence. Main stages of conducting legal due diligence. Professional skills of the lawyer necessary for successful performance of due diligence. Execution of main documents when conducting due diligence.
Module3. ORGANIZATIONAL ASPECTS OF THE LEGAL PRACTICE.
Theme 7. Negotiations in professional practiceof the lawyer (26 hours)
Concept and types of negotiations. Preparation for negotiation process. Stages of negotiations and their meaning. Technique of negotiations. Psychological aspects of negotiations in practice of the lawyer. Mediation.
Theme 8. Organization of the legal office (26 hours)
Organizational forms of the legal office (individual private practice, classic legal advice, classic law firm). Management of the legal office: management of the office jointly with several partners, management of administrative committeeof the office, distribution of duties on management of the office between its members, selection of the lawyer-manager, patriarchal/matriarchal management system of the legal office. Success of the legal office. Personnel recruitment and material and technical provision of the legal office.
